Key Terms Summary for Developers & Organizations
These Terms of Service constitute a legally binding agreement between you and vectorouter. Please review the essential operational parameters below:
- API Credentials & Liability: You maintain sole responsibility for safeguarding your API keys and are financially liable for all token fees incurred under your credentials.
- Prepaid Credits & Metering: Token usage is metered in real time. Unused credits may be refunded within twenty-four (24) hours of purchase; consumed tokens and payment processing fees are non-refundable.
- Generative AI Verification: Outputs from Large Language Models are probabilistic predictions. You are responsible for evaluating and verifying outputs before production deployment.
1.Acceptance of Terms & Eligibility
By creating an account, generating an API key, purchasing credits, or transmitting requests through the vectorouter API gateway, you ("User", "you", or "your") expressly agree to be bound by these Terms of Service (the "Terms") and our incorporated Privacy Policy.
If you are entering into these Terms on behalf of a company, organization, or legal entity, you represent and warrant that you possess full legal authority to bind such entity. If you do not have such authority, or if you do not agree with every provision herein, you must not access or utilize the Service.
You must be at least 18 years of age (or the age of legal majority in your country of residence) to register an account and use the Service.
2.Service Scope & Gateway Access
vectorouter provides a developer-first, unified Large Language Model (LLM) API routing gateway. The Service offers:
- OpenAI-Compatible Interfaces: Standardized REST and streaming endpoints (including
/v1/chat/completions,/v1/models, and/v1/embeddings) supporting dozens of frontier and open-weight models. - Intelligent Model Orchestration: Dynamic fallback routing, multi-provider load balancing, and regional latency minimization.
- Precise Token Metering: Real-time tracking of input tokens, output tokens, reasoning tokens, and credit deductions.
- Developer Tooling: Management consoles, API key generation, spend limits, and activity telemetry.
vectorouter acts as an intelligent intermediary. We do not manufacture or operate underlying proprietary foundation weights; all inference is processed through verified upstream model providers.
3.Account Registration & API Credentials
3.1 Account Registration & Maintenance
To access the API, you must create a vectorouter account. You agree to provide accurate, current, and complete information during registration and to keep this information updated at all times.
3.2 Absolute Responsibility for API Credentials
When you access the Service, you will generate cryptographic API keys ("API Credentials", prefix vtr-...). You acknowledge and agree that:
Security Mandates:
- You are strictly responsible for maintaining the confidentiality and secure storage of all API Credentials.
- You are fully liable for all activity and token charges incurred under your account and API Credentials, regardless of whether such usage was authorized by you, your employees, automated scripts, or an unauthorized third party.
- You must never hard-code secret keys in public code repositories, client-side browser bundles, or mobile app binaries.
- If you suspect your API key has been exposed or compromised, you must immediately revoke it via the Console.
vectorouter reserves the right to suspend or revoke any API key immediately without prior notice if we detect suspicious anomalies, abnormal token spikes, or security breaches.
4.Billing, Prepaid Credits & Refunds
4.1 Prepaid Credits & Pay-As-You-Go Metering
The Service operates primarily on a prepaid credit system ("Credits"). Users purchase credit balances in advance, and token consumption is debited in real time according to the per-token pricing schedule published in the vectorouter Model Catalog.
4.2 Refund Policy (24-Hour Purchase Window)
We maintain a fair and transparent refund framework for unused balances:
- Eligible Window: You may request a refund for unused, purchased Credits within twenty-four (24) hours from the exact timestamp of transaction processing.
- Non-Refundable Elements: Any Credits that have already been consumed by API inference requests are strictly non-refundable. Third-party merchant processing fees (e.g., Stripe processing fees) and cryptocurrency network gas fees are non-refundable.
- Expiration of Window: After twenty-four (24) hours following purchase, all remaining unused Credits become final, non-refundable, and non-redeemable for fiat currency.
- Cryptocurrency Payments: Due to blockchain irreversibility, purchases made via cryptocurrency (e.g., Coinbase) are strictly non-refundable under all circumstances.
4.3 Nature of Credits
Credits do not constitute personal property, bank deposits, digital currency, or legal tender. They represent a limited, revocable license to consume compute and model routing resources through the Service. Credits are non-transferable between separate accounts and cannot be exchanged for cash except as explicitly required by mandatory consumer protection law.
4.4 Auto-Recharge Authorization
If you enable the optional Auto-Recharge feature, you expressly authorize vectorouter and our payment processor to automatically charge your designated payment method when your available credit balance falls below your selected threshold. You may disable or adjust Auto-Recharge settings at any time in your billing dashboard.
5.Upstream Model Providers & Flow-Down Terms
When you use vectorouter to route prompts to specific AI models (e.g., models provided by OpenAI, Anthropic, Google, DeepSeek, Meta, Mistral, Groq), you acknowledge and agree that:
- Applicability of Provider Terms: Your access to and utilization of any Model is subject to the respective Model Provider's commercial terms, license agreements, and Acceptable Use Policies.
- Flow-Down Obligation: If you embed the vectorouter API into software products, consumer applications, or SaaS platforms offered to third-party end users, you are strictly responsible for enforcing downstream compliance with all applicable model licenses and safety standards.
- As-Available Model Uptime: vectorouter does not control upstream model infrastructure. Upstream providers may deprecate models, throttle latency, perform unscheduled maintenance, or alter token limits without notice. Access to any specific model is provided strictly on an "as-available" basis.
- Provider-Requested Suspension: If an upstream provider alerts vectorouter that your traffic violates their acceptable use terms, we may immediately suspend routing for that model or terminate your credentials.
6.Acceptable Use Policy (AUP)
You agree not to misuse the Service or facilitate any unlawful, harmful, or abusive activities. Prohibited conduct includes:
- Illegal or Exploitative Activities: Generating or distributing child sexual abuse material (CSAM), promoting self-harm, encouraging suicide, facilitating human trafficking, or executing financial fraud.
- Malicious Cyber Operations: Creating malware, exploits, ransomware, command-and-control payloads, or automated phishing infrastructure.
- Harassment & Hate Speech: Generating defamatory, stalking, dehumanizing, or threatening communications.
- Gateway & Infrastructure Attacks: Launching Denial of Service (DoS/DDoS) attacks, automated scraping of portal dashboards, attempting to bypass token accounting filters, or executing unauthorized penetration tests without prior written consent.
- High-Risk Life-Critical Disallowance: The Service is not certified for fail-safe operation in life-critical environments (including nuclear power control, direct medical life support, weapons systems, or commercial aviation guidance). You must not deploy the Service in settings where a service interruption or erroneous output could result in death, personal injury, or catastrophic physical destruction.
7.User Content, Inputs & AI Output Disclaimers
7.1 Content Ownership & Routing License
As between you and vectorouter, you retain all ownership rights in and to your Inputs and Outputs, subject to applicable law and upstream model licenses. You grant vectorouter a non-exclusive, worldwide, royalty-free license solely to transmit, process, format, and route your Inputs and Outputs as necessary to deliver the Service.
7.2 Probabilistic Nature & AI Disclaimers
Important Notice Regarding Generative AI Outputs:
- Outputs generated by LLMs are probabilistic predictions and may contain inaccuracies, errors, or hallucinations.
- vectorouter makes no representation or warranty regarding the factual accuracy, reliability, or safety of any Output.
- You bear sole responsibility for implementing human-in-the-loop verification, automated unit tests, and content evaluation before exposing Outputs to end consumers or relying on them for legal, financial, or technical decisions.
8.Intellectual Property & Feedback
All rights, title, and interest in and to the vectorouter platform, including gateway source code, documentation, logos, trademarks, visual design, and user interfaces ("vectorouter Materials"), remain the exclusive property of vectorouter and its licensors.
If you provide suggestions, bug reports, feature requests, or technical feedback ("Feedback"), you grant vectorouter a perpetual, irrevocable, royalty-free, worldwide license to implement and commercialize such Feedback without attribution or compensation.
9.Confidentiality
"Confidential Information" means all non-public technical, commercial, or financial information disclosed by one party to the other. Each party agrees to exercise at least reasonable care to protect the other's Confidential Information and not to disclose such information to third parties, except to employees, contractors, and legal advisors with a strict need to know.
Confidential Information does not include information that is publicly known through no breach, was already known without restriction, is independently developed, or is required to be disclosed pursuant to a valid judicial or governmental order.
10.Term, Suspension & Termination
These Terms remain in effect until terminated by either you or vectorouter. You may terminate your account at any time via the account management portal.
vectorouter may suspend or terminate your account immediately without prior notice if:
- You materially breach any provision of these Terms or the Acceptable Use Policy;
- Your credit balance is exhausted or payment attempts fail;
- We determine that your usage poses an operational risk, security hazard, or legal liability to vectorouter or third parties;
- Required to do so by court order, law enforcement, or an upstream provider mandate.
Upon termination, all active API keys will be immediately revoked. Sections 4, 7, 8, 9, 11, 12, 13, 14, and 15 shall survive termination.
11.Disclaimer of Warranties ('AS IS')
THE SERVICE, GATEWAY ENDPOINTS, AND ALL MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, VECTOROUTER AND ITS AFFILIATES, OFFICERS, DIRECTORS, AND AGENTS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: (A) ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; (B) WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR DEFECTS; AND (C) ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
12.Limitation of Liability
IN NO EVENT SHALL VECTOROUTER, ITS DIRECTORS, EMPLOYEES, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, DATA LOSS, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR PROCUREMENT OF SUBSTITUTE SERVICES) ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY THEREOF.
THE MAXIMUM AGGREGATE LIABILITY OF VECTOROUTER FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO VECTOROUTER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).
13.Indemnification
You agree to defend, indemnify, and hold harmless vectorouter, its parent entities, subsidiaries, affiliates, officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, expenses, and reasonable attorneys' fees arising out of or related to:
- Your access to or utilization of the Service;
- Your breach of these Terms, any applicable Model Terms, or the Acceptable Use Policy;
- Your Inputs, Outputs, or downstream software applications;
- Your violation of any third-party right, including intellectual property, privacy, or publicity rights.
14.Dispute Resolution & Binding Arbitration
Informal Resolution: Before initiating arbitration, you and vectorouter agree to attempt to resolve any dispute informally by contacting support@vectorouter.com for at least thirty (30) days.
Binding Arbitration: If the dispute is not resolved informally, it shall be settled exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, before a single neutral arbitrator. The seat of arbitration shall be New York, NY.
Class Action Waiver: YOU AND VECTOROUTER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
15.Governing Law & General Provisions
- Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any principles of conflicts of law.
- Entire Agreement: These Terms, together with the Privacy Policy and any applicable Service Orders, constitute the entire agreement between the parties concerning the Service.
- Severability: If any provision of these Terms is deemed invalid or unenforceable, that provision will be severed or limited to the minimum extent necessary, and the remaining provisions shall remain in full force.
- No Waiver: Failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right.
- Modifications: We reserve the right to amend these Terms. We will provide 30 days notice for material modifications. Continued usage constitutes binding agreement to updated terms.
